THE LIMITED GUARANTEE COMPANY (SAGL – SaRL – GmbH) SWITZERLAND

Also known in other countries as a limited liability company SRL in Italy and France, Limited liabilities company LLC in English-speaking countries, GmbH in Germany, it is in all respects a company with its own personality, like a shares or stock company , and as such, can (and must) enter into contracts and conclude business in its own name.

Its responsability towards third parties is represented by and limited to the released share capital. If not provided for by the statute, it is not subject to the obligation of additional payments by the members.

It is the corporate form preferred by small businesses in place of the sole proprietorship, typically by the owner who is usually also actively involved in the operational activity.

In addition to commercial reasons of seriousness of image, and given its reduced minimum capitalisation, the main advantage of this corporate formula is that of allowing the separation of corporate assets and risks from the private ones of the shareholder or members.

However, it would be limiting to say that this is the only possible or sensible use of this structure since, in the face of a significantly lower initial investment, it offers almost all the characteristics of seriousness and operation offered by its “big sister” or the limited company (SA ).

Minimum / maximum capital: CHF 20’000 / CHF 2.0 million

Ownership:  Minimum one partner, natural person or company, even if not resident in Switzerland

Property identity:  Public information, freely available online

Social domicile:  Anywhere in Switzerland

Administrator:  At least one natural person resident in Switzerland (Swiss, permit B or C)

Audit: Optional, mandatory in certain cases
